Conditions of Storage

Our storage services are provided in accordance with the Road Haulage Association's Conditions of Storage (effective from 1 April 2021). You can view the full document here.

1. Scope of application

1.1 The business relationship between LOGSTA UK LTD, registered in England and Wales under Company Number 12956258, with its registered office at Unit 5 Priors Industrial Estate, Priors Way, Maidenhead, United Kingdom, SL6 2HP (hereinafter referred to as "LOGSTA UK"), and the customer (hereinafter referred to as the "Customer"), shall be governed exclusively by the following General Terms and Conditions ("GTC") in the version valid at the time of conclusion of the contract.

1.2 We operate exclusively on the basis of the Road Haulage Association's (RHA) Conditions of Storage, as amended from time to time.

1.3 As a new customer, please use our contact form to get in touch with us by e-mail. This way, we can forward your enquiry to the right contact person and ensure that it is processed quickly. Are you already one of our customers? Then please write to us directly via the Customer Communication Center in your LOGSTA Connector. This way we can process your request as quickly as possible!

1.4 Deviating terms and conditions of the Customer shall not be recognised unless LOGSTA UK expressly agrees to their applicability in writing.

 

2. Offers, service descriptions and performance

2.1 The presentation of products and services does not constitute a legally binding offer but an invitation to submit an offer.

2.2 LOGSTA UK reserves the right to amend or remove prices, services, or service descriptions at any time without prior notice.

2.3 Errors and omissions excepted.

2.4 LOGSTA UK reserves the right to perform services itself or by engaging third parties (e.g. transport companies).

2.5 LOGSTA UK reserves the right to determine the appropriate method of packing and dispatching consignments.

2.6 Orders may be cancelled by the Customer at any time. LOGSTA UK shall be entitled to charge for services already provided.

2.7 LOGSTA UK reserves the right to refuse or terminate cooperation or individual orders at its discretion.

 

3. Shipping and label creation

3.1 For cross-border shipments, LOGSTA UK uses the Customer’s provided data and is not liable for its accuracy.

3.2 Shipping labels created by LOGSTA UK are chargeable from the moment of creation.

 

4. Prices, invoicing, default, right of retention and set-off

4.1 All prices are net and exclusive of VAT at the applicable rate.

4.2 Invoices are issued monthly in arrears with a payment term of 10 days net unless otherwise specified.

4.3 By making payment, the Customer acknowledges the correctness of the invoice.

4.4 In the event of late payment, LOGSTA UK may charge interest at Bank of England base rate plus 2% and recover all associated costs.

4.5 In the case of payment default, LOGSTA UK reserves the right to suspend services and/or cancel third-party arrangements.

4.6 The Customer may only offset claims that have been legally established or recognised by LOGSTA UK.

 

5. Deadlines and dates

Dates and deadlines are only binding if confirmed in writing by LOGSTA UK.

 

6. Termination

The termination terms shall be governed by the provisions outlined in the customer-specific contract.

 

7. Warranty for material defects and guarantee

7.1 Warranty claims are governed by statutory provisions.

7.2 Guarantees only apply if explicitly provided and communicated to the Customer in advance.

 

8. Liability

LOGSTA UK's liability for storage services is governed exclusively by the Road Haulage Association's (RHA) Conditions of Storage, as amended.

 

9. Final provisions

9.1 The place of jurisdiction and performance shall be the registered office of LOGSTA UK.

9.2 These Terms and Conditions are governed by the laws of England and Wales, and the contract language is English.

9.3 LOGSTA UK may amend these GTC at any time. Changes will be communicated to Customers by email and deemed accepted unless objected to within 30 days in writing via CCC or the contact form.

9.4 If any provision of these GTC is held to be invalid or unenforceable, the remainder shall remain in full force and effect. The invalid provision shall be replaced with a valid one that best achieves the intended purpose.

 

10. Prohibited use and marketplace compliance

10.1 The Customer is responsible for complying with the rules of any marketplace or sales channel through which it sells, including the Amazon Services Business Solutions Agreement and the Amazon Selling Partner API terms and policies, and warrants that it holds the rights necessary for the goods it consigns to LOGSTA UK.

10.2 The Customer must not use the services, directly or indirectly:

(a) to store, handle, ship or process returns of goods that are counterfeit, pirated or that otherwise infringe the intellectual property rights of a third party;

(b) to create, inflate, simulate or manipulate orders, transactions, reviews, ratings or sales rankings, including by sending goods to recipients who did not order them;

(c) to breach any agreement, policy or programme rule of a marketplace or sales channel; or

(d) for any unlawful purpose.

10.3 Where LOGSTA UK has reasonable grounds to suspect a breach of this clause, it may pause or refuse the fulfilment of the orders concerned, hold the goods concerned, suspend the integration or the services in whole or in part, and terminate the cooperation. It may report the matter to the marketplace concerned, to a rights holder or to a competent authority, and the Customer acknowledges that such a report is not a breach of any confidentiality obligation owed to the Customer. These rights are in addition to any other right of LOGSTA UK to suspend or terminate.

10.4 Each party retains ownership of its own intellectual property. The Customer grants LOGSTA UK only the licence needed to perform the services, and LOGSTA UK acquires no right in the Customer's brands, product data or content beyond that licence.

 

11. Data protection

11.1 Where LOGSTA UK processes personal data on behalf of the Customer in providing the services, it does so as processor. The Quivo Data Processing Agreement, published at quivo.co/uk/dpa/, sets out the data protection obligations of the parties and forms part of the contract.
