1. Scope of Application
1.1 These General Terms and Conditions ("GTC") govern the business relationship between LOGSTA LLC, with its principal office at 1648 Roseytown Road, Suite 400, Greensburg, PA 15601, USA, and the customer ("Customer").
1.2 All warehousing services are performed in accordance with the Standard Contract Terms and Conditions for Merchandise Warehouses as published by the IWLA. You can view the full document here.
1.3 New customers are requested to contact us via our contact form. Existing customers should direct all communication via the Customer Communication Center (CCC) in the LOGSTA Connector.
1.4 Deviating terms and conditions of the Customer shall not be recognized unless LOGSTA (US) Inc. expressly agrees to their applicability in writing.
2. Offers / Service Descriptions and Performance
2.1 The presentation of products and services does not constitute a legally binding offer but an invitation to submit an offer.
2.2 LOGSTA LLC reserves the right to amend or remove prices, services, or service descriptions at any time without prior notice.
2.3 Errors and omissions excepted.
2.4 LOGSTA LLC reserves the right to perform services itself or by engaging third parties (e.g., transport companies).
2.5 LOGSTA LLC reserves the right to determine the appropriate method of packing and dispatching consignments.
2.6 Orders may be canceled by the Customer at any time. LOGSTA LLC shall be entitled to charge for services already provided.
2.7 LOGSTA LLC reserves the right to refuse or terminate cooperation or individual orders at its discretion.
3. Dispatch / Label Creation
3.1 For cross-border shipments, LOGSTA LLC uses the Customer’s provided data and is not liable for its accuracy.
3.2 Shipping labels created by LOGSTA LLC are chargeable from the moment of creation.
4 Prices / invoice / default / right of retention / set-off
4.1 All prices are net and exclusive of applicable taxes.
4.2 Invoices are issued monthly in arrears with a payment term of 10 days net unless otherwise specified.
4.3 By making payment, the Customer acknowledges the correctness of the invoice.
4.4 In the event of late payment, LOGSTA LLC may charge interest at the maximum rate permitted by applicable law and recover all associated costs.
4.5 In the case of payment default, LOGSTA LLC reserves the right to suspend services and/or cancel third-party arrangements.
4.6 The Customer may only offset claims that have been legally established or recognized by LOGSTA LLC.
5. Deadlines and Dates
Dates and deadlines are only binding if confirmed in writing by LOGSTA LLC.
6. Termination
The termination terms shall be governed by the provisions outlined in the customer-specific contract.
7. Warranty of Quality and Guarantee
7.1 Warranty claims are governed by statutory provisions.
7.2 Guarantees only apply if explicitly provided and communicated to the Customer in advance.
8. Liability
8.1 LOGSTA LLC's liability for loss or damage to goods shall be defined in the specific customer contract.
8.2 LOGSTA LLC shall not be liable for any loss of profit or for any special, indirect, or consequential damages.
9. final provisions
9.1 The place of jurisdiction and performance shall be the registered office of LOGSTA LLC.
9.2 These Terms and Conditions are governed by the laws of the Commonwealth of Pennsylvania, and the contract language is English.
9.3 LOGSTA LLC may amend these GTC at any time. Changes will be communicated to Customers by email and deemed accepted unless objected to within 30 days in writing via CCC or the contact form.
9.4 If any provision of these GTC is held to be invalid or unenforceable, the remainder shall remain in full force and effect. The invalid provision shall be replaced with a valid one that best achieves the intended purpose.
